Specialist drilling firms join forces in strategic takeover

A specialist drilling business has acquired a rival in a strategic takeover designed to expand its national reach and strengthen its position across the geotechnical and geo-environmental sectors.

Gloucestershire-based ADP Group Limited was advised by Chalkhill Blue on its acquisition of Manchester-based Geotron UK Limited.

The deal brings together two established drilling businesses, creating a larger group with enhanced technical capability, a broader service offering and operations spanning the South West and North West of England.

Geotron joins ADP Group, extending the group’s geographical footprint into the North West while complementing its established presence in the South West.

The combined business will offer clients a larger fleet of specialist drilling equipment, increased technical expertise and expanded services across construction, infrastructure and environmental projects.

Chalkhill Blue worked with ADP Group’s shareholders and leadership team to develop the acquisition strategy, provide commercial guidance and oversee the transaction through to completion.

Thrings Solicitors provided legal advice, while Purple Lime Accountancy supported the financial and accountancy elements of the deal.

Chris Spratling, managing director at Chalkhill Blue, said the acquisition brought together two businesses with complementary strengths.

“It’s been a real pleasure to support Tom and the team at ADP Group on this important acquisition,” he said. “Bringing together two highly respected businesses with complementary capabilities, strong reputations and shared values represents a fantastic opportunity.

“Acquisitions can be a powerful way to accelerate growth when they’re driven by a clear strategy and strong commercial rationale.

“We’re delighted to have played a leading role in delivering this transaction alongside our trusted partners at Thrings and Purple Lime, and look forward to supporting the enlarged group’s continued growth.”

Tom Page, group managing director at ADP Group, said the takeover marked a major step in the company’s growth plans.

“The acquisition of Geotron represents a hugely exciting step forward for our business,” he said. “Their excellent reputation, experienced team and specialist capabilities make them a fantastic fit for ADP Group.

“Chalkhill Blue’s strategic advice, commercial insight and hands-on support throughout the acquisition process have been invaluable. We’re now looking forward to bringing the two businesses together and realising the significant growth opportunities ahead.”

The acquisition forms part of ADP Group’s long-term growth strategy, creating a stronger platform for investment in people, equipment and specialist services while expanding its national presence.

Chalkhill Blue advises ambitious SME owners on scaling, strengthening and transitioning their businesses through strategic growth planning, mergers and acquisitions, management buyouts and employee ownership transactions.
